Investor rules in Australia
- Investor limit. A retail client can put up to A$10,000 into one company's crowd-sourced funding offers through one intermediary in any 12 months. The intermediary must reject an application above that. Corporations Act s 738ZC (opens in a new tab)
- Tax relief. The ATO's early stage investor incentive gives a tax offset of 20% of what a qualifying early stage innovation company receives for newly issued shares, capped at A$200,000 per income year for an investor and affiliates together. ITAA 1997 s 360-25 (opens in a new tab) business.gov.au (opens in a new tab)
- Tax relief limit. An investor gets no offset where more than A$50,000 was paid for the shares in the income year and none of the sophisticated or professional investor exemptions in Corporations Act s 708(8), (10) or (11) applied. ITAA 1997 s 360-20 (opens in a new tab)
- Cooling-off. A retail client can withdraw an application within 5 business days after making it. Corporations Act s 738ZD (opens in a new tab)
- Raise cap. A company can raise up to A$5 million in any 12 months. The total counts what it and its related parties raised in the prior 12 months through crowd-sourced offers and offers exempt under s 708(1) or (10). Corporations Act s 738G (opens in a new tab)
