Investor rules in Italy
- Investor limit. Above the higher of EUR 1,000 or 5% of net worth in one offer, a non-sophisticated investor must receive a risk warning, consent explicitly and show understanding. This is not a ban, but the provider refuses the investment without those steps. ECSPR Art. 21(7) (opens in a new tab) ESMA Q&A 5.12 (opens in a new tab)
- Tax relief. An individual deducts from IRPEF 30% of amounts invested in an innovative start-up (within 5 years of registration), on up to EUR 1,000,000 a tax year, held 3 years, with no stake above 25%. Innovative SMEs qualify within EU state-aid limits. DL 179/2012 art. 29 (opens in a new tab) DL 3/2015 art. 4 (opens in a new tab)
- Tax relief. Alternative: since 1 January 2025 an individual deducts 65% on up to EUR 100,000 a tax year in an innovative start-up up to its third registration year, held 3 years, as de minimis aid, no stake above 25%. The 50% innovative-SME version ended 31 December 2024. DL 179/2012 art. 29-bis (opens in a new tab) DL 3/2015 art. 4 (opens in a new tab)
- Cooling-off. A non-sophisticated investor may revoke an investment offer or expression of interest, without giving a reason or paying a penalty, for 4 calendar days after making it. ECSPR Art. 22 (opens in a new tab)
- Raise cap. The EU regime covers offers up to EUR 5m per project owner over 12 months; larger offers fall outside it. ECSPR Art. 1(2)(c) (opens in a new tab) ESMA Q&A 2437 (opens in a new tab)
- Supervisor. Consob and the Bank of Italy are the national supervisors for crowdfunding service providers. ESMA table of authorities (opens in a new tab)
