Investor rules in Spain
- Investor limit. Above the higher of EUR 1,000 or 5% of net worth in one offer, a non-sophisticated investor must receive a risk warning, consent explicitly and show understanding. This is not a ban, but the provider refuses the investment without those steps. ECSPR Art. 21(7) (opens in a new tab) ESMA Q&A 5.12 (opens in a new tab)
- Tax relief. An individual deducts 50% of amounts subscribed for shares in a new or recent company from state income tax, on up to EUR 100,000 a year, held over 3 and under 12 years. Company equity at most EUR 400,000; family stake at most 40%. LIRPF arts. 67, 68.1 (opens in a new tab)
- Tax relief. Regional add-ons, tax year 2025, include Madrid, 40% with the deduction capped at EUR 9,279 a year, and Aragón, 20% on amounts above the state base, capped at EUR 4,000, each for companies based there. AEAT Madrid (opens in a new tab) AEAT Aragón (opens in a new tab)
- Cooling-off. A non-sophisticated investor may revoke an investment offer or expression of interest, without giving a reason or paying a penalty, for 4 calendar days after making it. ECSPR Art. 22 (opens in a new tab)
- Raise cap. The EU regime covers offers up to EUR 5m per project owner over 12 months. Above that, Spanish law lets platforms on a separate CNMV register take such offers, under the same rules but not cross-border. The CNMV is the national supervisor.
